OHL closes the sale of OHL Brazil to Abertis

Yesterday the OHL Group, through its OHL Concessions subsidiary, and after obtaining all administrative authorizations and third party approvals related to the funding, closed a deal with Abertis Infraestructuras to sell 100% of the capital stock of Partícipes en Brasil, which owns 60% of the listed company OHL Brazil.

By virtue of an exchange agreement through which the deal is being instrumented, OHL Concessions has received in return a 10% stake in Abertis’s capital stock, the undertaking by Abertis of liabilities vis-à-vis Partícipes amounting to 504.1 Million Euros and a cash payment of 10.7 Million Euros, plus a further one of 26.9 Million Euros representing interim dividends for the 2012 fiscal year, distributed by Abertis in relation to such shares.

As a result the OHL Group, which already held 5% of Abertis’s capital stock, will now hold a 15% stake.

Also yesterday, a deal was signed to sell to Abertis Autopistas Chile OHL’s concession assets in Chile, for a cash value of 204.1 Million Euros. Closure of the deal is subject to obtaining the necessary administrative authorizations and approvals from financial institutions, which is expected to take place during the ongoing 2012 fiscal year.
