OHLA completes its capital increase: reaches the maximum amount expected with a large oversubscription

January 31, 2025

OHLA, a global infrastructure company, has successfully completed its capital increase. The Group has reached the target amount of 150 million euros, the maximum amount foreseen, closing the capital increase with a significant oversubscription.

This is an important milestone that is in line with the objectives of the Recapitalisation Plan presented by the company last summer, which was approved at the Extraordinary Shareholders’ Meeting on 22 October. This Plan will enable the company to strengthen itself from a financial and operational perspective with the aim of boosting its growth in the main markets where it operates.

In this regard, it should be noted that OHLA has achieved for the first time in 6 years the return to the company of existing guarantees in favour of the Banks, has incorporated new investors, has extended the maturity of the debt until 31 December 2029 (without intermediate maturities) and has relaxed certain terms and conditions of the Bonds.

This OHLA recapitalisation operation also has the support of the reference shareholders, the new investors, banks, the bondholders, and also the company’s employees who subscribed to the maximum number of shares available with overdemand, which demonstrates the confidence of all market players in the future of the company and its business plan.
